1. Scope

These Terms of Service govern the use of the Ride Assignment website and application provided by Pablo Thiermann, Hollandstraße 11, 80805 München, reachable at support@ride-assign.com.

Ride Assignment is software for organizing group transportation. It supports account-based planning, rider and driver management, route and assignment generation, data imports, exports, and optional subscription billing for paid plans.

2. Contracting Party

The contracting party for all services under these Terms is:

3. Eligible Users and Business Context

Ride Assignment may be used by organizations, clubs, teams, event coordinators, and natural persons. If you register or use the service on behalf of an organization, you confirm that you are authorized to bind that organization.

Some features are particularly designed for organizational use. Mandatory consumer protection rights remain unaffected where the user is a consumer under applicable law.

4. Registration and Accounts

Use of the application requires an account unless a feature is expressly offered without registration.

You must:

• Provide accurate and complete registration information.
• Keep your login credentials confidential.
• Notify Pablo Thiermann without undue delay if you suspect unauthorized account access.
• Ensure that only authorized persons use your account or organization workspace.

You are responsible for activities carried out through your account unless you are not at fault.

5. Contract Conclusion

The presentation of Ride Assignment on the website does not by itself constitute a binding offer unless expressly stated otherwise.

For free access, a contract is concluded when Pablo Thiermann activates your account or grants access to the application after registration.

For paid plans, a contract is concluded when you complete the checkout process and Pablo Thiermann accepts the order by enabling the paid plan, confirming the subscription, or providing access to the paid service.

After the contract is concluded, consumers receive a contract confirmation on a durable medium, usually by email, containing the contract content including the legal texts incorporated at the time of contract conclusion.

6. Service Scope

Pablo Thiermann makes Ride Assignment available as a digital service. The application may include, depending on the chosen plan and current product state:

• Event and project management.
• Driver and passenger data management.
• Address lookup, geocoding, and map-based route support.
• Automated ride assignment and route planning assistance.
• Data import and export features.
• Billing administration for subscription plans.

Route calculations, map functions, and related outputs depend on third-party services such as Mapbox, Supabase, and Stripe. Google services are used only for optional Google sign-in and user-initiated Google Maps route links. Pablo Thiermann does not guarantee that third-party services will always be available without interruption.

7. Free and Paid Plans

Ride Assignment may offer free and paid plans. The specific scope of included features, limits, and prices is shown during the ordering process or in the application.

Pablo Thiermann may adjust features and plan structures for future periods where this is reasonable, especially to reflect technical developments, product changes, legal requirements, or changes in third-party costs. Existing contractual rights and mandatory legal rules remain unaffected.

8. Prices, Billing, and Renewal

Paid plans are billed via Stripe. Prices, billing intervals, taxes, and renewal terms are shown during checkout.

Unless stated otherwise:

• Subscription fees are due in advance for the agreed billing period.
• The paid subscription is concluded for an indefinite period.
• Billing takes place monthly in advance unless another billing interval is shown during checkout.
• You may cancel the subscription at any time with effect at the end of the current billing period.
• Payment processing is handled through Stripe under Stripe's own terms and privacy notices.
• You must keep your billing information complete and current.

Cancellation may be submitted through the billing portal or another cancellation method provided by Pablo Thiermann. Statutory cancellation rights remain unaffected.

9. User Responsibilities

You are responsible for all content and data you upload, enter, or otherwise process through Ride Assignment, including participant names, contact details, addresses, coordinates, notes, and organizational data.

You must ensure that:

• You have the necessary rights and legal bases to use that data.
• The data you provide is accurate to the extent required for the intended use.
• You review automated route or assignment results before relying on them in practice.
• You do not use the service for unlawful, discriminatory, or unsafe activities.

To the extent you enter names, email addresses, or addresses into Ride Assignment, you permit Pablo Thiermann to use and process that data to provide the service. You represent and warrant that you are entitled to provide that data and to grant that permission effectively.

Special categories of personal data, in particular health or accessibility data, may only be processed where required for the specific use case and where a valid legal basis, including any additional statutory requirements, exists. Unnecessary sensitive information must be avoided.

10. Data Processing for Customer Data

To the extent Pablo Thiermann processes personal workspace content on behalf of a customer organization, the Data Processing Addendum applies in addition. In case of conflict between these Terms and the Data Processing Addendum, the Data Processing Addendum prevails.

Organizational customers must accept the Data Processing Addendum before entering or importing third-party personal data into a workspace. Pablo Thiermann may document acceptance of the Data Processing Addendum with the version, timestamp, user account, and organization.

The customer organization remains responsible in particular for having an appropriate legal basis for entering and using driver, passenger, participant, event, address, route, import, export, and note data, informing affected persons as required, processing only necessary data, and limiting access to authorized persons.

Special categories of personal data, such as health data, disability information, accessibility needs, or similarly sensitive information, may be entered only where this is necessary for the specific purpose and the customer organization satisfies the additional requirements under Article 9 GDPR. Data relating to minors or other vulnerable persons may be processed only where an appropriate legal basis and appropriate safeguards exist.

11. Acceptable Use

You must not:

• Use Ride Assignment to violate applicable law or third-party rights.
• Upload malicious code, interfere with the platform, or attempt unauthorized access.
• Circumvent technical limitations, quotas, or access restrictions.
• Use the service to build a competing service through scraping or systematic extraction unless expressly permitted by law.
• Use the service in a way that unreasonably impairs the stability, security, or availability of the platform.

Pablo Thiermann may suspend or restrict access where necessary to address security issues, unlawful use, or serious breaches of these Terms.

12. Data and Outputs

Ride Assignment provides software assistance for operational planning. Route metrics, maps, routing suggestions, and assignments are generated from the data available at the time of processing and from third-party data sources.

You remain responsible for checking whether the outputs are suitable, accurate enough, lawful, and safe for your specific use case. The service does not replace human review, operational judgment, or legal compliance by the user.

13. Intellectual Property

Ride Assignment, including the software, design, documentation, trademarks, and non-user content, is owned by or licensed to Pablo Thiermann and is protected by applicable intellectual property laws.

Subject to these Terms, Pablo Thiermann grants you a non-exclusive, non-transferable right to use the service during the agreed term for your internal purposes.

You retain rights in the data you upload, subject to the rights necessary for Pablo Thiermann to operate, host, secure, and support the service.

14. Availability, Maintenance, and Changes

Pablo Thiermann may perform maintenance, security updates, bug fixes, and functional improvements. Temporary restrictions may occur where technically necessary.

Pablo Thiermann may change the service to the extent necessary to maintain conformity with the contract, for security reasons, legal compliance, abuse prevention, or mandatory technical requirements.

Changes that go beyond maintaining conformity are made for consumers only where these Terms provide for such changes, there is a valid reason, and the consumer does not incur additional costs as a result.

If such a change materially impairs consumer access to or use of the service, Pablo Thiermann will inform the consumer in due time on a durable medium. Statutory rights, including statutory termination rights for digital services, remain unaffected.

15. Liability

Pablo Thiermann is liable without limitation for intent, gross negligence, injury to life, body, or health, and to the extent liability is mandatory under applicable law.

In cases of slight negligence, Pablo Thiermann is liable only for the breach of essential contractual obligations, and then only for the foreseeable damage typical for the contract.

Liability under mandatory product liability law, for fraudulently concealed defects, and under mandatory statutory rules governing defects in digital products and digital services remains unaffected.

Pablo Thiermann does not provide an independent guarantee for the availability of third-party services. Statutory claims arising from a breach of duty for which Pablo Thiermann is responsible remain unaffected.

To the extent damage is also caused by inaccurate or incomplete user-provided data or by a user's failure to review outputs before practical use, the statutory rules on contributory fault apply.

Nothing in these Terms limits mandatory consumer rights.

16. Indemnification

If you use Ride Assignment in breach of these Terms or applicable law, or if the data you provide infringes third-party rights, you must indemnify Pablo Thiermann against third-party claims to the extent you are responsible for the breach.

17. Term and Termination

These Terms apply for the duration of your use of the service.

You may stop using the service at any time. Paid subscriptions remain subject to the agreed billing term and cancellation rules.

Pablo Thiermann may terminate or suspend access for cause, especially in cases of serious breach, unlawful use, non-payment, or security risk. Where legally required, Pablo Thiermann will provide prior notice and an opportunity to remedy.

18. Governing Law and Venue

These Terms are governed by the law of the Federal Republic of Germany, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.

If you are a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction is München.

If you are a consumer, this choice of law applies only to the extent that you are not deprived of the protection afforded by mandatory provisions of the law of the country in which you have your habitual residence. The statutory rules on jurisdiction for consumers remain unaffected.

19. Changes to These Terms

Pablo Thiermann may amend these Terms for future contracts or future use where there is a legitimate reason, including legal, technical, or commercial developments. For consumers, changes to existing contracts apply only to the extent permitted by law; service-related changes to digital services are additionally governed by Section 14.

21. Consumer Dispute Resolution

Pablo Thiermann is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
